Consulting Services Privacy Agreement
This Privacy Agreement ("Agreement"), [Dr. Ozan Yekta Tezdiğ] ("Consultant") and ("Client") to regulate confidentiality issues between the parties within the scope of the consultancy services that the Client will receive from the Consultant.
1. Definitions
a. Confidential Information: It refers to any information of a commercial, financial, technical, operational or other nature that the parties share within the scope of this Agreement or that one party discloses to the other party.
b. Non-Confidential Information: Refers to information that is not confidential or publicly accessible and is not protected under this Agreement.
2. Privacy Commitment
The Client undertakes to keep the Consultant's trade secrets, business processes, customer information and all other information ("Confidential Information") confidential during the services he receives from the Consultant. The Client will use Confidential Information only for the purposes specified under this Agreement and will not disclose it to third parties.
3. Obligation to Protect Privacy
The Consultant undertakes to keep all information received from the Client confidential and to use the Confidential Information only for the purposes specified by the Client. The Consultant will not disclose Confidential Information to third parties and will protect the Confidential Information by taking the necessary precautions.
4. Exceptions
The provisions of this Confidentiality Agreement do not permit disclosure of Confidential Information without the prior written consent of the parties, except in the following cases:
a. Confidential Information has become or has become public knowledge before being disclosed by any party.
b. Confidential Information comes into the recipient's possession through legitimate means before being disclosed to one party without the prior written consent of the other party.
c. If Confidential Information must be disclosed by law, regulatory requirement or court order, the other party will promptly notify the other party and take appropriate steps to protect the Confidential Information.
5. Duration of the Contract
This Confidentiality Agreement will continue during and after the Client receives consultancy services from the Consultant.
6. Dispute Resolution
In case of any dispute between the parties arising from this Agreement, the parties will first seek a solution through negotiation and mediation. If the negotiations remain inconclusive, the dispute will be subject to the jurisdiction of the Istanbul Courts and Turkish law.
This Confidentiality Agreement has been prepared to ensure a complete agreement between the parties and will be valid if the parties agree on this matter in writing in advance.
